Verba — Terms of Use

The agreement that comes with your copy of Verba.

Effective August 2026

This Agreement is between you and Noir Egrets. By installing or using Verba, you agree to these terms. If you do not agree, do not use the Software.

  1. License

    Verba is licensed, not sold. Your one-time purchase grants you a personal, non-exclusive, non-transferable license to install and use the Software on Macs that you own or control, for your own use.

  2. Restrictions

    You may not: (a) redistribute, resell, sublicense, rent, or lend the Software or your license; (b) remove or alter any proprietary notices; or (c) reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits despite this limitation.

  3. Updates

    We may provide updates from time to time. Updates are provided under these terms unless accompanied by a separate license.

  4. Ownership

    We and our licensors retain all right, title, and interest in the Software, including all intellectual property rights. This Agreement grants you no rights other than the license above.

  5. Third-party components

    The Software incorporates on-device machine-learning components (including Apple Intelligence and open-source speech models) that run locally on your Mac. Apple Intelligence features require a compatible Mac and macOS with Apple Intelligence enabled; where unavailable, affected features degrade gracefully.

  6. Disclaimer of warranty

    THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TRANSCRIPTION OR CLEANUP WILL BE ACCURATE OR ERROR-FREE. YOU ARE RESPONSIBLE FOR REVIEWING ITS OUTPUT BEFORE RELYING ON IT.

  7. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

  8. Termination

    This license terminates automatically if you breach it. On termination you must stop using and delete the Software. Sections 4–7 survive termination.

  9. Governing law

    This Agreement is governed by the laws of the State of Michigan, United States, without regard to conflict-of-laws rules.
